Terms of Service & SaaS Agreement

1. Contractual Scope & Acceptance
These Terms of Service (this "Agreement") form a legally binding contract between Agents 360 AI LLC, its operators, licensors, and affiliates ("Agents 360 AI LLC", "we", "us", or "Platform Operator") and the organization or individual subscribing to the LogiStock platform ("Customer", "You").
By accessing credentials, registering an account, or maintaining a multi-tenant workspace on LogiStock, you explicitly accept this Agreement, our Acceptable Use Policy (AUP), Privacy Policy, and Data Processing Agreement (DPA).
2. Customer Data Ownership vs. Intellectual Property
- Customer Data Ownership: Customer retains exclusive title, ownership, and intellectual property rights in all inventory items, pricing tiers, purchase orders, invoices, and financial records uploaded or generated within Customer's workspace.
- Platform Intellectual Property: LogiStock retains all exclusive rights, title, source code, database architectures, algorithmic logic, UI/UX designs, trademarks, and documentation. No license is granted to reverse engineer, decompile, or extract the platform.
3. Operational Disclaimer & No Guarantee of Financial Outcomes
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LOGISTOCK EXPRESSELY DISCLAIMS ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, OR IMPLIED.
Inventory reorder point recommendations, automated stock projections, valuation reports (FIFO / Average Cost), and tax ledger lines are assistive computational aids. Customer bears sole responsibility for verifying physical warehouse counts, tax filings with government revenue agencies, supplier pricing agreements, and regulatory sales compliance.
4. Limitation of Financial Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES SHALL LOGISTOCK, ITS OPERATORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, INVENTORY SPOILAGE, REVENUE LOSS, OR IRS / TAX PENALTIES.
LOGISTOCK’S TOTAL AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT OR SERVICE PERFORMANCE SHALL NEVER EXCEED THE LESSER OF: (A) FEES ACTUALLY PAID BY CUSTOMER TO LOGISTOCK IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
5. AI Features (LogiStock Copilot) & Third-Party APIs
LogiStock incorporates automated AI assistive interfaces and integrations with third parties (including Google Cloud, Composio, and Microsoft 365). Customer acknowledges that Large Language Models may produce approximations or hallucinations. Operational decisions must be confirmed by authorized staff before executing irrevocable physical or financial actions.
6. Binding Arbitration & Class Action Waiver
All claims or disputes arising under or related to this Agreement shall be resolved through confidential, individual, binding arbitration in Florida, United States, administered under the Commercial Arbitration Rules of the American Arbitration Association (AAA). You agree that any dispute resolution will take place on an individual basis and waive any right to participate in a class or representative action.
